Terms of Service & Privacy Policy

The complete agreement between you and EscapeMVP. Please read carefully.

Effective: April 1, 2026

This Terms of Service and Privacy Policy agreement (these "Terms") is a binding contract between EscapeMVP, LLC, a Missouri limited liability company ("EscapeMVP," "we," "us," or "our"), and the individual or entity ("Customer," "you," or "your") that registers for, accesses, or uses the EscapeMVP service available at escapemvp.com and related subdomains, applications, APIs, and integrations (collectively, the "Service").

By checking the box at signup, clicking "I Agree," or by accessing or using the Service in any way, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to that entity. If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms

These Terms govern your use of the Service. By creating an account, providing payment, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, including the Privacy Policy and Data Processing Terms incorporated below.

If you do not agree to any part of these Terms, your sole remedy is to immediately stop using the Service and close your account.

2. Description of Service

EscapeMVP provides a software-as-a-service platform designed for escape room operators, including booking management, scheduling, customer communications, marketing tools, gift card sales, waivers, point-of-sale features, reporting, and related functionality (the "Service"). The Service is provided on a subscription basis according to the plan you select.

Features, plans, pricing, and functionality may be added, modified, or removed at any time at our sole discretion. Some features may require additional fees or higher-tier plans.

3. Eligibility & Authority

You represent and warrant that:

• You are at least 18 years of age and have the legal capacity to enter into these Terms;
• You operate a legitimate business and will use the Service in connection with that business;
• If you register on behalf of a company, partnership, or other entity, you have full authority to bind that entity to these Terms;
• All information you provide during registration and during your use of the Service is true, accurate, current, and complete;
• Your use of the Service will comply with all applicable federal, state, local, and international laws and regulations.

4. Account Registration & Security

You must register and create an account to use the Service. You are responsible for:

• Maintaining the confidentiality of your login credentials and any user accounts created within your organization;
• All activity that occurs under your account, whether or not authorized by you;
• Promptly notifying EscapeMVP of any actual or suspected unauthorized access or security breach involving your account;
• Ensuring that any users you grant access to (including staff, managers, and game masters) comply with these Terms;
• Maintaining a current, valid contact email address and updating your account information as needed.

You agree not to share login credentials. Each individual user must have their own login. EscapeMVP is not responsible for any loss or damage arising from your failure to safeguard your account credentials.

5. Fees, Subscriptions & Billing

You agree to pay all fees applicable to your selected subscription plan, plus any usage-based fees, add-ons, or one-time charges, as published on the Service or otherwise communicated to you. All fees are stated in U.S. Dollars unless otherwise noted and are exclusive of taxes, which are your responsibility.

By providing a payment method, you authorize EscapeMVP (or our payment processor) to charge that payment method on a recurring basis (monthly, annually, or as specified in your plan) for all fees due. You authorize us to charge any amounts owed against your payment method without further notice, including for plan changes, overage charges, add-on services, and applicable taxes.

Subscriptions automatically renew at the end of each billing period at the then-current rate unless cancelled in accordance with Section 6. You are responsible for ensuring that the payment method on file is valid and up to date.

EscapeMVP reserves the right to modify pricing at any time. We will provide reasonable advance notice of any material price increase that will affect your subscription. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

6. Refunds & Cancellation

All fees paid to EscapeMVP are non-refundable. This includes monthly and annual subscription fees, add-on charges, setup fees, usage fees, and any other amounts paid. We do not provide refunds or credits for partial months of service, unused features, downgrades, or for any period during which your account was active but unused.

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your then-current billing period; you will retain access to the Service through that period and will not be charged for the next renewal.

If your account is cancelled — whether by you or by us — you will lose access to the Service and all data associated with your account. See Section 19 for data retention details following cancellation.

7. Nonpayment & Suspension

If a payment fails or remains unpaid past its due date, EscapeMVP may, without further notice:

• Retry the charge against your payment method;
• Suspend your access to the Service in whole or in part;
• Charge a late fee or interest as permitted by law;
• After 30 days of nonpayment, terminate your account and permanently delete all associated data.

You remain liable for all amounts owed, including reasonable collection costs and attorneys' fees incurred to collect overdue amounts.

8. Your Responsibilities as an Operator

The Service is a tool that supports your business; it does not replace your operational judgment or legal obligations. You are solely responsible for:

• Fulfilling all bookings, reservations, gift cards, events, and purchases made through the Service;
• Honoring your published cancellation, refund, and rescheduling policies and processing player refunds directly;
• The accuracy of your room descriptions, pricing, schedules, availability, terms and conditions, waivers, and any other content you publish through the Service;
• Compliance with all laws applicable to your business, including consumer protection, accessibility, accommodation, age restrictions, alcohol regulations (if applicable), employment law, tax collection and remittance, marketing/CAN-SPAM/TCPA, and data protection laws;
• Obtaining all necessary consents from your players and staff before collecting, storing, or processing their personal data through the Service, including waiver signatures, marketing opt-ins, photo/video releases, and SMS/email communications;
• The legal sufficiency of any waivers, liability releases, or terms you collect through the Service;
• The conduct of your staff, contractors, and other authorized users of your account;
• Player safety and the physical operation of your venue.

EscapeMVP is not a party to any transaction, agreement, or relationship between you and your players or staff. We do not verify, endorse, or guarantee any aspect of your business, your offerings, or your fulfillment of obligations to players.

9. Payment Processing & Player Transactions

EscapeMVP does not process player payments directly. All player payments — including bookings, gift cards, retail purchases, tips, and refunds — are processed through third-party payment processors that you select and connect to your account (such as Stripe, Square, or others). Your relationship with those processors is governed by their own terms and conditions, which you must accept directly with them.

You are solely responsible for:

• Maintaining your account in good standing with your payment processor;
• All chargebacks, disputes, refunds, fraud, and reversals on player transactions;
• PCI compliance to the extent applicable to how you collect or transmit payment data;
• Tax collection and remittance on player transactions.

EscapeMVP does not store full payment card numbers. Tokenization and payment data security are handled by your selected payment processor. EscapeMVP is not liable for any payment processing failure, fee, dispute, fraud loss, or other financial loss arising from player transactions.

10. Your Data & Content

"Customer Data" means all data, content, and information that you, your staff, or your players submit to or generate through the Service, including booking records, customer contact information, room and product descriptions, marketing content, waivers, photos, and similar materials.

You retain all ownership rights in your Customer Data. You grant EscapeMVP a worldwide, non-exclusive, royalty-free license to host, store, transmit, copy, modify, display, and process Customer Data solely as necessary to provide, maintain, support, and improve the Service, to comply with legal obligations, and to enforce these Terms.

You represent and warrant that you have all rights, licenses, and consents necessary to submit Customer Data to the Service and to grant the license above, and that Customer Data does not infringe any third party's rights or violate any law.

EscapeMVP may use aggregated, anonymized, or de-identified data derived from your use of the Service for any business purpose, including improving the Service, benchmarking, analytics, and product development. Such aggregated data will not identify you or any individual.

You are responsible for maintaining your own backups of Customer Data. While we take reasonable measures to protect data, EscapeMVP is not liable for any loss, corruption, or unavailability of Customer Data.

11. Acceptable Use

You agree not to, and not to permit any third party to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
• Send unsolicited commercial communications ("spam"), or violate the CAN-SPAM Act, TCPA, GDPR, CCPA, or any other anti-spam, telemarketing, or privacy law;
• Upload or transmit any content that is illegal, infringing, defamatory, obscene, harassing, threatening, hateful, or otherwise objectionable;
• Upload viruses, malware, or other harmful code;
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service, except to the extent expressly permitted by law;
• Copy, modify, distribute, sell, lease, sublicense, or create derivative works of the Service or any part of it;
• Use any automated means (bots, scrapers, crawlers) to access the Service except as expressly authorized by us;
• Interfere with, disrupt, or impose an unreasonable load on the Service or its infrastructure;
• Attempt to gain unauthorized access to any portion of the Service, other accounts, or related systems;
• Resell, white-label, or otherwise make the Service available to third parties as a standalone offering;
• Use the Service to compete with EscapeMVP or to build a competing product;
• Remove, obscure, or alter any proprietary notices on the Service.

EscapeMVP may, at its sole discretion and without liability, suspend or terminate any account that we believe in good faith violates this Section.

12. Third-Party Services

The Service may integrate with or link to services provided by third parties, including payment processors (Stripe, Square), email and SMS providers (Postmark and others), analytics providers (Google Analytics), calendar services (Google Calendar), advertising platforms, review sites, and others (collectively, "Third-Party Services").

Your use of any Third-Party Service is governed by that service's own terms and privacy policy. EscapeMVP is not responsible for, does not endorse, and disclaims all liability for the availability, accuracy, security, content, or practices of any Third-Party Service. We may add, remove, or change Third-Party Service integrations at any time.

13. Intellectual Property

EscapeMVP and its licensors retain all right, title, and interest in and to the Service, including all software, designs, text, graphics, logos, trademarks, and other content provided by us (collectively, the "EscapeMVP IP"). No rights are granted to you in the EscapeMVP IP except the limited, revocable, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms during your subscription term.

"EscapeMVP," "MVP Experience," "MVP+," and our logos are trademarks of EscapeMVP, LLC. You may not use our trademarks without our prior written consent, except to truthfully identify yourself as a customer of the Service.

If you provide feedback, suggestions, or ideas about the Service, you grant EscapeMVP a perpetual, irrevocable, worldwide, royalty-free, fully transferable license to use that feedback for any purpose without obligation or compensation to you.

14. Privacy Policy

This Privacy Policy describes how EscapeMVP collects, uses, and discloses information in connection with the Service.

14.1 Information We Collect

From you (the Customer): When you register for and use the Service, we collect basic account and contact information, including your name, business name, email address, phone number, business address, billing details (note: full payment card numbers are processed and stored by our payment processor, not by us), and any information you submit through support requests, surveys, or in your account.

From your players (on your behalf): Through the Service, you collect data about your players, customers, staff, and other individuals (such as names, email addresses, phone numbers, booking history, waiver signatures, marketing preferences, and similar data). EscapeMVP processes this data on your behalf as your service provider — see Section 15 (Data Processing Terms) for details. You are the controller of this data; we are the processor.

Automatically collected: When you or your players use the Service, we automatically collect technical information including IP address, browser type, device identifiers, operating system, referring URLs, pages viewed, dates and times of access, and similar log data. We use cookies and similar tracking technologies — see Section 14.5.

14.2 How We Use Information

We use the information we collect to:

• Provide, maintain, support, and improve the Service;
• Process payments and manage your subscription;
• Communicate with you about your account, the Service, support requests, and product updates;
• Send you transactional emails (account notices, billing, password resets) and, where permitted, marketing communications about EscapeMVP;
• Detect, prevent, and respond to fraud, abuse, security incidents, and violations of these Terms;
• Comply with legal obligations and respond to lawful requests from authorities;
• Generate aggregated, anonymized analytics and product insights;
• Enforce our agreements and protect our rights, property, or safety, or that of others.

14.3 Sharing & Disclosure

We do not sell your personal information. We share information only in the following circumstances:

• Service providers / subprocessors: We share information with third parties who help us operate the Service, including hosting providers, payment processors (Stripe, Square), email/SMS delivery (Postmark), analytics (Google Analytics), and customer support tools. These providers are contractually obligated to use information only as necessary to provide their services.
• Legal compliance: When required by law, subpoena, court order, or other legal process, or when we believe in good faith that disclosure is necessary to protect our rights, the safety of others, or to investigate fraud or security issues.
• Business transfers: In connection with a merger, acquisition, financing, reorganization, or sale of all or part of our business or assets, your information may be transferred to the successor entity.
• With your consent: Any other sharing for which you have provided consent.

14.4 Payment Card Information

EscapeMVP does not store full payment card numbers on its own systems. All payment card data is collected, transmitted, and stored by PCI-compliant third-party payment processors (Stripe and/or Square). We may receive limited tokenized references (such as the last 4 digits of a card and an expiration date) to enable receipt and account management features.

14.5 Cookies & Tracking

We use cookies, web beacons, and similar technologies to operate, secure, and improve the Service, remember your preferences, analyze usage, and (on our marketing website) measure the effectiveness of marketing campaigns. You can control cookies through your browser settings. Disabling cookies may affect how the Service functions.

14.6 Marketing Communications

We may send you marketing emails about EscapeMVP product updates, tips, and offers. You can unsubscribe at any time using the link in any marketing email. We will continue to send you transactional and account-related communications regardless of your marketing preferences.

14.7 Data Security

We use commercially reasonable administrative, technical, and physical safeguards to protect information, including encryption in transit, access controls, and regular review of our security practices. No system is perfectly secure, however, and we cannot guarantee the absolute security of any information.

14.8 Data Retention

We retain Customer Data for as long as your account is active or as needed to provide the Service. Following account cancellation or termination, we will delete or anonymize Customer Data within a reasonable period (typically 30 days), except where we are required by law or for legitimate business purposes (such as tax records, fraud prevention, or dispute resolution) to retain it longer. Backups containing Customer Data may persist for a longer period in accordance with our backup retention schedule.

14.9 Your Rights

Depending on your location, you may have rights with respect to your personal information, including the right to access, correct, delete, port, or restrict processing of your information, and to object to certain uses. To exercise these rights, contact us at support@escapemvp.com. We may need to verify your identity before fulfilling your request, and certain rights are subject to legal exceptions.

If you are a player or end user of one of our Customers, please direct privacy requests to that Customer; we process player data on our Customer's behalf and will refer such requests to them.

14.10 Children

The Service is not directed to or intended for use by children under 13 (or 16 in the EU/EEA). We do not knowingly collect personal information from children. If we become aware that we have collected personal information from a child without verifiable parental consent, we will delete it.

14.11 International Transfers

EscapeMVP is based in the United States and the Service is hosted in the United States. By using the Service, you consent to the transfer, storage, and processing of information in the United States, which may have different data protection rules than your jurisdiction.

15. Data Processing Terms

This Section applies when EscapeMVP processes personal data of your players, customers, staff, or other individuals on your behalf. With respect to such data, you are the "controller" (or "business" under CCPA), and EscapeMVP is the "processor" (or "service provider").

15.1 Scope and Roles

EscapeMVP will process such personal data only (a) to provide and support the Service, (b) on your documented instructions (including these Terms and your account configuration), and (c) as required by applicable law. You represent and warrant that you have a lawful basis to collect and provide such personal data and that you have provided all required notices to and obtained all required consents from the data subjects.

15.2 Confidentiality & Personnel

EscapeMVP will ensure that personnel authorized to process such personal data are bound by appropriate confidentiality obligations and have received appropriate training.

15.3 Subprocessors

You authorize EscapeMVP to engage subprocessors to assist in providing the Service, including hosting, payment processing, email/SMS delivery, analytics, and customer support providers. EscapeMVP will impose data protection obligations on subprocessors substantially similar to those in this Section. A current list of major subprocessors is available on request from support@escapemvp.com. EscapeMVP may add or change subprocessors at any time and will provide notice of material changes by email or in-product notification.

15.4 Security

EscapeMVP will implement and maintain appropriate technical and organizational measures designed to protect personal data against unauthorized or unlawful access, accidental loss, destruction, or damage.

15.5 Data Subject Requests

EscapeMVP will provide reasonable cooperation to assist you in responding to requests from data subjects (such as access, deletion, or correction requests). You are responsible for responding to data subject requests directly.

15.6 Incident Notification

EscapeMVP will notify you without undue delay after becoming aware of a confirmed personal data breach affecting your data, with information sufficient to assist you in fulfilling your own breach-notification obligations under applicable law.

15.7 Return or Deletion

Upon termination of your account, EscapeMVP will, within a reasonable period and subject to Section 14.8, delete or return personal data processed on your behalf, except as required to be retained by law.

16. Disclaimer of Warranties

THE SERVICE, INCLUDING ALL CONTENT, FEATURES, INTEGRATIONS, AND OUTPUTS, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, ESCAPEMVP DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

ESCAPEMVP DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, COMPLETELY ACCURATE, FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT IT WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS. ESCAPEMVP DOES NOT WARRANT THE DELIVERY OF ANY EMAIL, SMS, OR OTHER COMMUNICATION SENT THROUGH OR BY THE SERVICE.

ANY ADVICE, INFORMATION, OR CONTENT OBTAINED FROM ESCAPEMVP OR THROUGH THE SERVICE DOES NOT CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES; IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ESCAPEMVP, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST SALES, LOST BOOKINGS, LOST DATA, BUSINESS INTERRUPTION, REPUTATIONAL HARM, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF ESCAPEMVP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL ESCAPEMVP'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE LESSER OF: (A) THE TOTAL AMOUNT OF SUBSCRIPTION FEES YOU ACTUALLY PAID TO ESCAPEMVP IN THE ONE (1) MONTH IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

THE LIMITATIONS IN THIS SECTION ALLOCATE THE RISKS BETWEEN THE PARTIES AND ARE A FUNDAMENTAL ELEMENT OF THE BARGAIN. THE SERVICE WOULD NOT BE PROVIDED TO YOU WITHOUT THESE LIMITATIONS. THESE LIMITATIONS APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, our liability is limited to the maximum extent permitted by law.

18. Indemnification

You agree to defend, indemnify, and hold harmless EscapeMVP, its officers, directors, members, employees, contractors, agents, affiliates, and licensors from and against any and all claims, demands, actions, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service or your violation of these Terms;
• Your Customer Data or any content you submit, post, or transmit through the Service;
• Your violation of any law or third-party rights, including the rights of any player, customer, employee, or other individual;
• Any dispute between you and any of your players, customers, employees, or other third parties;
• Any product, service, refund, waiver, transaction, or experience you offer or fulfill;
• Your failure to obtain required consents or to provide required notices to data subjects;
• Any negligent or willful misconduct by you or anyone using your account.

EscapeMVP reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate in asserting any available defenses.

19. Term, Suspension & Termination

These Terms remain in effect for as long as you have an account or use the Service.

You may terminate your account at any time as described in Section 6. EscapeMVP may suspend or terminate your account or your access to the Service at any time, with or without notice, if:

• You breach these Terms;
• Your account is past due;
• We are required to do so by law or by a third party we depend on;
• We discontinue the Service or any feature you depend on;
• We believe in good faith that your continued use creates risk to us, to other customers, to your players, or to the integrity or security of the Service.

Upon termination, your right to access and use the Service immediately ceases. Sections that by their nature should survive termination (including Sections 6, 8, 10, 13, 14, 16, 17, 18, 21, 22, and 23) will survive.

Following termination, we will delete or anonymize your Customer Data in accordance with Section 14.8. You are responsible for exporting any data you wish to retain prior to cancellation.

20. Changes to These Terms or the Service

EscapeMVP may modify these Terms at any time by posting an updated version on our website and/or providing notice through the Service or by email. Material changes will become effective no less than 14 days after we provide notice. Continued use of the Service after the effective date of any change constitutes your acceptance of the modified Terms. If you do not agree to the changes, your sole remedy is to cancel your account before the effective date.

EscapeMVP may modify, suspend, add, or discontinue any feature, integration, or aspect of the Service at any time without liability. We will use commercially reasonable efforts to provide advance notice of material discontinuations.

21. Governing Law & Venue

These Terms and any dispute arising out of or relating to these Terms or the Service are governed by the laws of the State of Missouri, USA, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

You and EscapeMVP each consent to the exclusive jurisdiction and venue of the state and federal courts located in Cass County, Missouri, for any action arising out of or relating to these Terms or the Service, and waive any objection to such jurisdiction and venue based on inconvenient forum or otherwise.

22. Disputes & Class Action Waiver

Before initiating any formal legal proceeding, the parties agree to attempt in good faith to resolve any dispute by sending written notice to the other party describing the dispute and proposed resolution, and to negotiate in good faith for at least 30 days following such notice.

YOU AND ESCAPEMVP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. NEITHER PARTY MAY CONSOLIDATE CLAIMS WITH THOSE OF OTHERS, AND NO COURT OR ARBITRATOR MAY PRESIDE OVER ANY FORM OF CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A TRIAL BY JURY FOR ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

Any claim must be brought within one (1) year after it arises, or it is permanently barred.

23. Miscellaneous

23.1 Entire Agreement

These Terms (including the Privacy Policy and Data Processing Terms incorporated above) constitute the entire agreement between you and EscapeMVP regarding the Service and supersede all prior or contemporaneous understandings, communications, and agreements, whether written or oral.

23.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable while preserving the parties' original intent as closely as possible.

23.3 No Waiver

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of EscapeMVP.

23.4 Assignment

You may not assign or transfer these Terms or any rights hereunder, by operation of law or otherwise, without our prior written consent. Any attempted assignment without consent is void. EscapeMVP may freely assign these Terms in connection with a merger, acquisition, financing, sale of assets, or similar transaction, or to any affiliate.

23.5 Force Majeure

EscapeMVP will not be liable for any failure or delay in performance arising from causes beyond its reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, civil unrest, government action, network or infrastructure failures, third-party service outages, denial-of-service attacks, or labor disputes.

23.6 Notices

EscapeMVP may provide notices to you by email to the address associated with your account, by posting in the Service, or by posting on our website. You may provide notice to EscapeMVP at support@escapemvp.com. Notices are effective when sent.

23.7 Independent Contractors

The parties are independent contractors. These Terms do not create any partnership, joint venture, employment, agency, or fiduciary relationship.

23.8 No Third-Party Beneficiaries

These Terms are for the sole benefit of you and EscapeMVP and do not create any rights in any third party.
